Terms of Service: Resonate Partner Referral Program

1. Introduction

These Terms of Service (“Terms”) are between Resonate Tech., Inc. (“Resonate”) and you (“Partner”) and govern the participation in the Resonate Partner Referral Program. By participating in the program, you agree to these terms which form a binding legal agreement between you, the Partner, and Resonate, the developer of 0CodeTools, AI Studio, and DataEnrichment for HubSpot

2. Eligibility

To participate in the Resonate Partner Referral Program, you must be a verified partner operating as a company, not as an individual.
Eligible partners agree to provide accurate company information, including a valid Taxpayer Identification Number (TIN) and complete the necessary tax documentation:

• U.S. residents must submit a completed W-9 form.
• Non-U.S. residents must submit a completed W-8 form.

Participants must have a HubSpot portal number and provide specific account details in our applications.

3. Referral Lead Claim Process

Partners may claim a referral by providing the potential customer’s HubSpot portal number and specific account details within our apps either 30 days before or up to 3 days after the customer’s purchase.
A lead can only be claimed once and must not be an existing Resonate lead/customer or a lead already claimed by another partner.
Resonate reserves the right to verify the eligibility of the claimed lead and reject any claims that do not comply with our terms.

4. Commissions and Rewards

• A commission of 20% of all license payments received from the referred customer for the apps mentioned above, for a period of three years.
• A 20% discount on their own license subscription for the apps.

The specific reward option will be confirmed upon the successful registration and verification of the lead.

5. Additional Benefits

Partners will also receive extended free accounts with double the limits of our standard free subscription, which can be used for personal use or demonstration purposes.

6. Term and Termination

These Terms and Conditions are effective until terminated by either party. Resonate reserves the right to terminate a partner’s participation in the program at any time without notice, for any reason including breach of these terms.

7. Modification of Terms

Resonate reserves the right to modify these terms at any time. Changes will not be retroactive, and the most current version of the terms, which will always be posted on our website, will govern our relationship with you.

8. Miscellaneous

These Terms and Conditions constitute the entire agreement between you and Resonate regarding your participation in the referral program.
The failure of Resonate to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.

By participating in the Resonate Partner Referral Program, you acknowledge that you have read, understood, and agree to be bound by these updated Terms and Conditions.
